Head of Legal

About the role

The Head of Legal will shape and execute the company’s legal strategy across contracting, corporate governance, compliance, intellectual property, data protection and emerging technology risks. Reporting to senior leadership, this role ensures that legal frameworks support business growth while safeguarding the organization’s interests.

Key responsibilities

• Lead the commercial contracting strategy, including drafting, negotiation, approval, lifecycle management and template creation.
• Provide corporate legal support to the Board, Company Secretary and senior executives on governance, secretarial matters, corporate structuring and intra‑group arrangements.
• Ensure compliance with the Companies Act, sector regulations and monitor legislative developments, translating them into actionable guidance.
• Manage disputes, negotiations, settlements, arbitration and litigation across Sri Lanka and regional markets.
• Advise on employment law, workplace investigations, restructuring and labor relations.
• Protect company IP through trademark registration, licensing and enforcement, and perform notarial work as required.
• Oversee data protection compliance with Sri Lanka’s PDPA and international frameworks, lead privacy incident response and embed privacy by design.
• Guide AI governance, assess legal and ethical risks of AI solutions, and conduct AI risk assessments.

Required profile

• LLB and/or Attorney‑at‑Law of the Supreme Court of Sri Lanka with a valid Notarial License.
• Extensive experience in commercial contracts, corporate governance and regulatory compliance.
• Proven track record in dispute resolution, employment law and intellectual property management.
• Strong understanding of data protection laws (PDPA, GDPR) and AI‑related legal issues.
